EULA - End User License Agreement

THIS SOFTWARE PROGRAMME ("SOFTWARE") IS A PROPRIETARY
PRODUCT OF REVCAD SOFTWARE ("THE DEVELOPER") AND IS
PROTECTED BY COPYRIGHT AND OTHER LAWS. The unregistered
Software is distibuted and licensed as SHAREWARE.
1. SOFTWARE LICENCE AGREEMENT - TERMS AND CONDITIONS

THIS AGREEMENT IS A LEGAL CONTRACT BETWEEN YOU ("THE
LICENSEE") AND REVCAD SOFTWARE GOVERNING YOUR USE OF
THE SOFTWARE. PROCEEDING TO THE NEXT STAGE INDICATES
YOUR ACCEPTANCE OF THIS AGREEMENT. IF YOU DO NOT WISH TO
AGREE TO THE TERMS OF THIS AGREEMENT YOU MUST REMOVE
ALL INSTALLATIONS OF THE SOFTWARE, YOU MUST NOT
DISTRIBUTE THE SOFTWARE, AND YOU MUST DELETE ALL COPIES
OF THE INSTALLATION FILES FROM YOU COMPUTER SYSTEMS.

Under the shareware agreement you are licensed to use the unregistered
Software for EVALUATION and NON-PROFIT making purposes only. You
can freely copy and distribute the complete and original unregistered
package at no cost to you. YOU MUST NOT alter the executable files in
any way and YOU MUST NOT repackage the Software or charge any fee,
other than a nominal distibution cost, without the express written consent of
RevCAD Software.

To use the Software for any COMMERCIAL, EDUCATIONAL or PROFIT
MAKING purpose YOU MUST REGISTER the program and obtain an
authorisation key code from RevCAD Software. The provision of the
authorisation code by RevCAD Software and payment of the license fee
grants you ('THE LICENSEE') to a non-exclusive license permitting
unlimited use of the Software, on a single installation (see next paragraph),
for COMMERCIAL , PROFIT MAKING and EDUCATIONAL purposes.

Licenses granted to commercial or educational institutions limit the use of
the Software to a SINGLE SITE. COMMERCIAL, EDUCATIONAL and
PROFIT MAKING institutions MUST purchase a license FOR EACH
SOFTWARE INSTALLATION up to a maximum of 5 licenses. The purchase
of 5 licenses for a single site authorises unlimited installations of the
Software at that site. A site license authorises the use of the software in
educational programmes at the registered site.
2. COPYRIGHT OWNERSHIP AND CONFIDENTIALITY

(a) The Software contains confidential information of RevCAD Software
and all copyright trademarks design rights (registered or unregistered) and
other intellectual property rights in the Software are the exclusive property of
RevCAD Software.

(b) The Licensee shall not:

(i) reverse engineer, decompile, disassemble or create derivative works
based on the Software.

(ii) rent lease sub-licence assign or transfer the Software or any part of it

(c) The Licensee shall keep the Software for its sole use or the use by
those of its employees who are properly engaged in the use of the Software
and allow RevCAD Software unlimited use and access without payment to
any modification or programmes created using the Software.
3. WARRANTY

(a) RevCAD Software warrants that it has the rights and title to and owns
the property in the Software

(b) Save as aforesaid RevCAD Software gives no warranties and makes
no representations whatsoever that the Software will be suitable for any
particular purpose or for use under any particular conditions notwithstanding
that such purpose or condition may be known or have been made known to
RevCAD Software or that the operation of the Software will not be
interrupted or will be error free

(c) RevCAD Software accepts no responsibility for any mathematical or
technical limitation of the Software it being the Licensees responsibility to
check and verify all information produced by the Software in whatever form.

(d) RevCAD Software shall not in any circumstances be liable for any
special collateral incidental or consequential loss or damage in connection
with or arising out of the use of the Software

(e) Any liability of RevCAD Software to the Licensee in respect of any of
the provisions of this Agreement shall be limited to damages only of an
amount not exceeding the total purchase price of the Software paid by the
Licensee

(f) Subject to the foregoing all conditions warranties terms and
undertakings expressed or implied statutory or otherwise in respect of the
Software are hereby excluded.
4. TERMINATION

(a) This Agreement shall be terminated forthwith by RevCAD Software if
the Licensee commits any material breach of the terms of this Agreement

(b) If the Licensee is in breach of this Agreement immediately following the
termination of this Agreement the Licensee shall remove all installations of
the Software and delete all copies of the Software and the Programme
Documentation in its possession

(c) These terms and all questions of construction validity and performance
shall be governed by English law and the parties hereby submit to the
non-exclusive jurisdiction of the English courts.
